End User License Agreement (EULA) for Flare Browser

1. Acceptance of Terms

By downloading, installing, or using the Flare Browser browser (“Software”), you agree to be bound by the terms and conditions of this End User License Agreement (“EULA”). If you do not agree to the terms of this EULA, do not download, install, or use the Software.

2. License Grant

To Go Networks Ltd grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely for your personal, non-commercial purposes strictly in accordance with the terms of this EULA.

3. Restrictions

You agree not to, and you will not permit others to:
a. License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software or make the Software available to any third party.
b. Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
c. Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of To Go Networks Ltd or its affiliates, partners, suppliers, or the licensors of the Software.

4. Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights therein, are and shall remain the sole and exclusive property of To Go Networks Ltd.

5. Updates and Maintenance

To Go Networks Ltd may, from time to time, provide updates or modifications to the Software. You agree that To Go Networks Ltd is not obligated to provide any updates, modifications, or support services.

6. Termination

This EULA is effective from the date you first use the Software and shall continue until terminated. Your rights under this EULA will terminate automatically without notice from To Go Networks Ltd if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the Software and delete all copies of the Software.

7. Disclaimer of Warranties

The Software is provided “AS IS” and “AS AVAILABLE” without warranty of any kind. To Go Networks Ltd disclaims all warranties, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall To Go Networks Ltd, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Software; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Software; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Software by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Software; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.

9. Governing Law
These TOS and any dispute relating to the Extension and Services shall be governed by the laws of the state of Israel, without regard to the conflicts of laws and principles thereof. You hereby submit to the exclusive jurisdiction and venue of the applicable court in Tel Aviv, Israel.

10. Miscellaneous

a. This EULA constitutes the entire agreement between you and To Go Networks Ltd regarding your use of the Software and supersedes all prior and contemporaneous written or oral agreements between you and To Go Networks Ltd.
b. To Go Networks Ltd’s failure to enforce any right or provision of this EULA will not be considered a waiver of those rights. If any provision of this EULA is held to be invalid or unenforceable by a court, the remaining provisions of this EULA will remain in effect.
c. You may not assign this EULA or any of your rights or obligations under this EULA, without To Go Networks Ltd’s prior written consent. To Go Networks Ltd may assign this EULA at any time without notice to you.
